Vinita, LLC Terms of Use

These Terms of Use ("Terms") govern your use of vinitaco.com and your booking of consultations with Vinita, LLC, a Wyoming limited liability company with its office at 9801 Westheimer Road, Suite 300, Houston, Texas 77042, USA ("Vinita," "we," "us"). By using the website or booking a consultation, you agree to these Terms. If you do not agree, do not use the website.
1. The website
The website describes Vinita's business consulting services for general information. Descriptions of services, experience and results are general and may change. Nothing on the website is an offer to provide services on specific terms; every paid engagement is governed by a separate written engagement agreement.
2. Free consultations
Free consultations are introductory conversations of about 15 minutes. They are offered for general discussion and do not create a client relationship. Do not share confidential information during a free consultation unless we have agreed to keep it confidential. We may decline any consultation or engagement.
3. Paid engagements
Paid services are provided only under a written engagement agreement that states the scope, deliverables, fees and schedule. If an engagement agreement conflicts with these Terms, the engagement agreement controls.
4. No guarantee of results
We do not guarantee that you will obtain any registration, certification, set-aside status, contract award, financing, approval or other result. Government agencies, prime contractors, lenders and other third parties make their own decisions. Past results described on the website do not predict future outcomes.
5. Professional services disclaimer
Vinita provides business consulting services only. We do not provide legal, tax, accounting, investment or financial advice. Our full Consulting Services Disclaimer is part of these Terms.
6. Your responsibilities
You are responsible for the accuracy and completeness of the information you give us and for every submission, certification, representation and proposal you make to a government agency or any other party, including those we help prepare. You must not ask us to help with any false, misleading or unlawful submission.
7. Prohibited conduct
You agree not to misuse the website, including by trying to access systems without authorization, interfering with the website's operation, sending malware, or scraping its content by automated means.
8. Intellectual property
The website and its content, including text, graphics, logos and design, are owned by Vinita or its licensors. You may view and print pages for your own business use. You may not copy, modify or distribute website content without our written permission.
9. Third-party links
The website links to third-party sites, such as our scheduling provider and government websites. We are not responsible for websites we do not control.
10. Disclaimer of warranties
The website is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
11. Limitation of liability
To the fullest extent the law allows, Vinita and its members, managers and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, contracts, revenue or data, arising from your use of the website or a free consultation. Our total liability for any claim relating to the website or a free consultation is limited to one hundred U.S. dollars ($100). Liability for paid services is governed by the engagement agreement.
12. Governing law and venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Any dispute relating to these Terms or the website will be brought only in the state or federal courts located in Harris County, Texas, and you consent to the jurisdiction of those courts.
13. Changes
We may update these Terms by posting a new version with a new effective date. Your continued use of the website after a change means you accept the updated Terms.
14. General
If any part of these Terms is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver.
